Companies Act 2016 (“CA2016”) – Formation and Administration of Companies.


Registered Office and statutory records

  • A company shall have a registered office in Malaysia to which all communications and notices may be addressed.

  • The registered office shall be open and accessible to the public during ordinary business hours.

  • Must notified the Registrar if there is a change of registered address within 14 days.

  • The following documents shall be kept at the registered office:

a. The notice of registration of incorporation
b. The constitution of the company, is any
c. Any certificates given under CA2016
d. All registers, statutory books, records and documents as required under CA2016
e. Minutes of members’ meetings and resolutions
f. Minutes of Board meetings and resolutions
g. All written communications to all members
h. Financial statements and group financial statements;
i. The accounting records of the company
j. Charge documents
k. Such other documents required to be kept by the Registrar

  • Except for minutes of board meetings and resolutions, all other documents listed above can be kept at a place other than at the registered office, provided a notice has been lodge with the Registrar within 14 days of the change.

KTP current practice

The accounting records of the Company shall always keep at client business premises or any other address determined by the directors of the Company. 

Kindly keep KTP inform if there is any changes to the address for us to notify the Registrar within 14 days from the date of change to avoid any penalty imposed by the Registrar.
